The following terms of service govern the use of the QuoteOnSite website. References in these terms to “we”, “us” and “our” are to QuoteOnSite. These terms are governed by the laws of England & Wales

The website is offered subject to your acceptance without modification of all the terms contained herein and all other operating rules, policies, including, without limitation, QuoteOnSite Privacy Policy and procedures that may be published from time to time on this site by QuoteOnSite (collectively, the “agreement” between us and you).

Please read this agreement and the Privacy Policy that explains the use of cookies carefully before creating a user account. By creating a user account, you agree to become bound by the terms of this agreement and consent to store cookies on your devices.

Conditions

1. The website is available only to individuals who:

7. Do not use the website for any illegal or unauthorised purpose;
8. Do not action anything which could reasonably be expected to damage, disable, overburden or materially impair the website or which is likely to interfere with any other party’s use of the website;
9. Do not transmit any worms or viruses or any code of a destructive nature to the website;
10. Do not upload, post, publish, transmit, reproduce, create derivative works of, or distribute on the website, information, software or other material that is protected by copyright or other proprietary right, without obtaining any required permission of the owner;

You acknowledge and agree that the technical processing and transmission of the data on the website may be transferred unencrypted and involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices; If any of your employees and others, agents or sub-contractors uses the website, we shall assume that that they have the right to do so and you will be liable for their acts and omissions, including, without limitation, any breach of these terms.

Your QuoteOnSite Account

Once you have created your account, we will confirm your registration by e-mail to the address submitted in your registration, at which point a legally binding contract will be created between you and us.

We reserve the right, at our absolute discretion and for any reason, not to accept an application.

On registration, you are granted a non-transferrable and non-exclusive licence to use the website in accordance with these terms.

You are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify QuoteOnSite of any unauthorised use of your account or any other breaches of security. QuoteOnSite will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

Trial Period

On occasion, following registration and account creation, you shall immediately be granted access to the website for a free trial period of 14 days.

At the end of the trial period, unless you have commenced making payments to us as described in paragraph 4, your account will be locked. You may at any time, whether on, before or after the expiration of the trial period commence making payments to us as described in paragraph 4 in order to continue to be able to access all features of your selected plan.

Payment

To continue using the website fully after the 14 day free trial, you must complete the required payment details to authorise us to collect the monthly or annual subscription fee in advance. All payments are non-refundable. Non-payment will result in the account being locked. To unlock your account contact support@quoteonsite.com. Your account can be cancelled at any time.

Fees may be varied by us. Current fees are displayed on the website. Any increase in fees will be communicated with 30 days notice.

Use of Personal Information

We use personal information in accordance with our Privacy Policy. Please take time to read this. All information is held in accordance with the registration we have with the Information Commissioner’s Office.

Intellectual Property

This agreement does not transfer any QuoteOnSite or third party intellectual property. All rights, title and interest in and to such property will remain solely with QuoteOnSite. QuoteOnSite, QuoteOnSite.com, the logo, and all other trademarks, service marks, graphics and logos used in connection with the website and QuoteOnSite.com, are trademarks or registered trademarks of QuoteOnSite, or third parties. Your use of the website grants you no right or license to reproduce or otherwise use any QuoteOnSite or third-party trademarks.

For the purposes of these terms, references to “Intellectual Property Rights” shall mean all patents, rights to inventions, copyright and related rights, trademarks and trade names, rights to goodwill or to sue for passing off, rights in designs, database rights, rights in confidential information (including, without limitation, know-how) and any other intellectual property rights, in each case whether registered or unregistered and including (without limitation) all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world. 

You acknowledge and agree that all Intellectual Property Rights existing or arising in the website and all materials, know-how, specifications, inventions, processes, software, data or information relating to or supplied by us under or in connection with the website shall at all times belong to and remain vested in us and no proprietary rights or any other rights whatsoever are assigned, granted or shall otherwise pass to you. 

All intellectual property rights in any external data sources or embedded third party services used in connection with the website and/or the provision of the website are the intellectual property of the relevant third party provider. Your use of the website grants you no right or license to reproduce or otherwise use any QuoteOnSite or third-party trademarks. You shall retain ownership of all intellectual property rights you have in your data. We do however reserve the right to disclose your data to in the investigation of fraud or other alleged unlawful activities. 

You undertake to notify us promptly of any infringement or alleged infringement by us of the intellectual property rights of any third party in connection with the website of which you are or become aware of and to render to us all reasonable assistance in relation to any action, suit or proceeding taken in respect of such infringement or alleged infringement.

Website Changes

QuoteOnSite reserves the right to modify or replace any part of this agreement. Your continued use of the website following the notification of any changes to this agreement constitutes acceptance of those changes. Any new services and/or features of the website, including the release of new tools and resources shall be subject to the terms and conditions of this agreement. It is your responsibility to check this agreement periodically for changes.

Account Closure

QuoteOnSite may cease your access to all or any part of the website at any time, with or without cause, with or without notice, effective immediately. We require 14 days notice if you wish to cancel your subscription to your QuoteOnSite account. You must do this through the website navigating to Manage User Account and click “Deactivate” user account for the account owner or “Delete” for any additional accounts. To close your account permanently, please contact support@quoteonsite.com. 

Your data will still be available for active accounts. All provisions of this agreement shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer of Warranties

The website is provided “as is”. QuoteOnSite and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither QuoteOnSite, nor its suppliers and licensors, makes any warranty that the website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the website at your own discretion and risk.

Our Liability

In no event will QuoteOnSite, or its suppliers or licensors, be liable in connection with the website, with respect to any subject matter of this agreement under any contract, tort, negligence, strict liability or other legal or equitable theory for: Loss of sales, revenue, anticipated savings, business, business opportunity, profit, or goodwill; Loss resulting from failure by you to use the website services in accordance with these terms. any special, incidental, indirect or consequential loss; the cost of procurement for substitute products or services; for interruption of use or loss or corruption of data; Except as expressly stated in these terms, we do not give any representation, warranty or undertaking in relation to the website. Any representation, condition or warranty which might be implied or incorporated into these terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. 

We will not be responsible for ensuring that: the website is suitable for your purposes; the website provided by us is uninterrupted, is in a timely manner, secure and error-free; the results which you may obtain from the website, will be accurate or reliable, and that any errors will be corrected. You agree that the limitations and exclusions of liability in our favour in these terms are reasonable in the circumstances under which the website is to be provided. QuoteOnSite shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law. If an event outside our control takes place which affects the performance of our obligations under these terms, we will contact you as soon as reasonably possible to notify you. Our obligations under these terms will be suspended and the time for performance of our obligations will be extended for the duration of the event outside our control.

Indemnification

You agree to fully indemnify, defend and hold QuoteOnSite personnel, agents and sub-contractors, harmless immediately on demand, from and against all claims, losses, costs and expenses, including all legal fees, arising out of any breach of these terms by you, or any other liabilities arising out of your or anybody else’s use of the website.

Help & Communications

Communications are via the QuoteOnSite help page, info@quoteonsite.com or support@quoteonsite.com. We will endeavour to respond to you as soon as we are able.

Other Terms

You shall not, without our prior written consent, sub-licence, assign or otherwise transfer or dispose of all or any part of your rights or obligations under the terms. We shall be entitled to delegate or sub-contract the performance of all or any part of our obligations under or in connection with these terms to any third parties as is necessary to provide the website. All provisions of these terms intended by their nature to survive termination shall survive the termination of these terms. These terms are between you and us. No other person shall have any rights to enforce them, whether under the Contracts (Rights of Third Parties Act) 1999 or otherwise. 

Nothing in these terms will be construed as constituting or evidencing any partnership, contract of employment or joint venture of any kind between us or as authorising either of us to act as agent for the other. Neither of us will have authority to make representations for, act in the name or on behalf of or otherwise to bind the other in any way. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect. 

If we fail to insist that you perform any of your obligations under these terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you. 

Any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), will be subject to the exclusive jurisdiction of the courts of England and Wales. 

A waiver by either party of any term or condition of this agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this agreement to any party that consents to, and agrees to be bound by, its terms and conditions; QuoteOnSite may assign its rights under this agreement without condition. 

This agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

Varying These Terms

We may revise these Terms, including, without limitation, the duration and availability of the trial period, price charge for the web series at our absolute discretion. If terms are revised, a revision notice will be provided on our website.
